Terms of trade
General terms for quotes, orders and supplies. The contract for each order prevails.
1. Scope
These general terms apply to quotes, orders and supplies by Nectus unless the parties agree otherwise in a written contract. If the contract and these terms differ, the contract prevails.
2. Quotes
Quotes are valid for the period stated in them. Prices depend on the specification, quantity, delivery term and exchange rates stated in the quote. A quote becomes binding only when confirmed by a signed contract or order confirmation.
3. Orders and specifications
The buyer is responsible for the accuracy of the specification, quantities and requirements of its market provided to us. Approved samples serve as the quality reference. Changes after order confirmation may change price and delivery time.
4. Prices and payment
Prices are stated in EUR or USD on the delivery term agreed in the contract. Payment is made by bank transfer to the account of Nectus stated in the invoice. Prepayment and balance terms are set in each contract. Bank charges are paid by the sender unless agreed otherwise.
5. Delivery
Delivery terms are interpreted according to Incoterms 2020. Delivery times are estimates unless the contract states a fixed date, and may change due to events outside our control.
6. Inspection and acceptance
Goods are inspected before shipment as agreed in the contract. The buyer checks goods on arrival and reports visible damage or shortages in writing within the period stated in the contract, with photos and transport documents.
7. Claims
Valid claims are settled by repair, replacement, price reduction or refund, as agreed with the buyer. Our liability is limited to the value of the goods concerned unless the contract states otherwise.
8. Force majeure
Neither party is liable for delays or failure caused by events beyond its reasonable control, including natural disasters, war, strikes, transport disruption and acts of authorities.
9. Compliance
Both parties comply with the laws that apply to the transaction. We may refuse or suspend an order where it cannot be performed lawfully.
10. Governing law
The governing law and place of dispute resolution are stated in each contract.
